Board of Directors - Secretary (Volunteer Position)
Reports To: Board Chair
Location: Toronto, ON (Hybrid in-person board meetings and occasional events)
Type: Volunteer / Board of Directors Role
Term: 3 years and up to 6 years.
Commitment: 8 to 10 Hybrid meetings annually (approx. 2 hours each), Board committee meetings ( quarterly)
This is a volunteer position.

Position Summary
The Board Secretary plays a critical governance role in ensuring the smooth and effective functioning of the Board of Directors. This position is responsible for maintaining accurate records of board activities, ensuring compliance with legislative requirements (ONCA), and supporting the Board Chair and Executive Director in board communications and coordination.
Key Responsibilities
- Board Meetings & Agendas
- Coordinate with the Board Chair and Executive Director to prepare meeting agendas.
- Distribute meeting materials in advance in accordance with board policy.
- Record and distribute accurate minutes of board and committee meetings in a timely manner.
- Participate in at least one of the board committees.
- Governance & Compliance
- Maintain official board records, including minutes, bylaws, policies, and member lists.
- Ensure compliance with Ontario Not-for-Profit Corporations Act (ONCA) and ANS bylaws.
- Support the preparation and filing of required government documents and annual returns.
- Board Support & Communication
- Manage and update the annual board calendar, including meetings, AGM, and key deadlines.
- Communicate board decisions and follow-up actions to relevant stakeholders.
- Support new board member orientation with governance materials and documentation.
- Support the assigned committee
Qualifications
- Previous experience in a governance, administrative, or board secretary role (nonprofit experience preferred).
- HR experience considered a strong asset.
- Strong organizational skills with attention to detail and deadlines.
- Excellent written and verbal communication skills.
- Knowledge of ONCA and nonprofit governance best practices an asset.
- Proficient with Microsoft Office, and virtual meeting tools (Zoom/Teams).
- Commitment to ANSs mission, values, and equity, diversity, and inclusion principles.
Eligibility
- Must have a clear vulnerable sector police check
- Must be over 18 years old.
- Must not have been found incapable under: Substitute Decisions Act, or Mental Health Act.
- Must not have the status of a bankrupt.
- ANS employees/contractors are not eligible to serve on the Board
